LIMITED SALES AGREEMENT

Limited Sales Agreement

With this agreement between KAHLA Porcelain USA, LTD (vendor), and ————————— (customer), the vendor agrees to sell customer its product for a limited period defined as the Term of the agreement, and customer agrees to the following terms and conditions.

Term
The Term of the Agreement shall stand for 1 year from the effective date —————————. Within the period 30 days prior to the expiration of the agreement, vendor and customer shall review the agreement for the purpose of renewal on the same or modified terms. Failure to renew the agreement past the expiration date shall mean that the agreement has lapsed and vendor is no longer under any obligation to provide its product to customer.

Nature of Resale
Customer may purchase vendor’s product for the purpose of retail resale to end customers only.

Location of Resale
This agreement is valid for resale of vendor’s product in customer’s brick and mortar retail location only, located at —————————. Resale of vendor’s product in other locations, venues, and distribution channels other than stated herein, shall require either a separate agreement or side letter that modifies this original agreement, or shall otherwise invalidate vendor’s obligations.

Product Availability
Customer may purchase, for resale purposes only, available product from KAHLA Porcelain’s current catalog (2006). A further detailed listing of products can be found on our price sheet/order form.

Pricing
Wholesale pricing is available to retail accounts per our current price sheet. All quoted prices are valid for 30 days from the time of quotation.

Minimum Orders
Orders less than $150 (COG's only) are subject to a surcharge of $20 per order.

Delivery Time
All in stock orders will be available in 5 to 10 business days from confirmation of order.

Shipping
Unless otherwise specified, we ship all orders via ground delivery to be delivered within 5 business days of the ship date. A shipping charge for this service is applied to each order.

Terms and Conditions
(1) First time orders are to be prepaid in full. (2) Where credit is granted, terms are 30 day net. (3) A finance charge of 1.5% per month will be added to past due accounts. (4) If terms are not established, orders will be shipped C.O.D. Prices are F.O.B. factory, applicable sales taxes extra. (5) Prices are subject to change with 30 days notice, and orders will be invoiced at the prices in effect on the day of the shipment. (6) All products should be inspected immediately upon delivery and any damage or breakage must be reported to the shipping company within 5 days of receipt in order to make a claim. (7) No order may be cancelled without the written consent of a KAHLA Porcelain representative. (8) Any returns or exchanges must first be authorized with the written consent of a representative of KAHLA Porcelain and be made within 15 days - without exceptions. (9) Returns will be subject to a 20% re-stocking fee. (10) KAHLA Porcelain warranties its products for up to 1 year from purchase against proven defects in manufacturing. (11) Agreement to provide KAHLA Porcelain’s product for sale in vendor’s retail establishment does not apply to vendor’s online sales. Sale of KAHLA Porcelain’s product through vendor’s online channels requires a separate agreement and approval.
